BY-LAWS OF THE CENTER STREET HISTORIC DISTRICT ASSOCIATION, INC.

ARTICLE I: NAME

The name of this organization shall be known as the Center Street Historic District Association, INC.

ARTICLE II: PURPOSE

The purposes of the Center Street Historic District Association, INC. shall be:

a. to further the policy of the preservation of historic sites, buildings, and objects of local, state, and national significance in Ashland.

b. To facilitate public participation in the preservation of sites, buildings, and objects of local, state, and national significance in Ashland.

c. To receive donations of money, sites, buildings, and objects significant in local, state and national history and preserve and administer them for public benefit.

d. To educate the public with respect to the necessity and advisability of the preservation of historic structures and areas of Center Street, Ashland, Ohio and other historic areas of said city.

ARTICLE III: MEMBERSHIP

a. Membership. The members of the Center Street Historic District Association, INC. shall be such individuals as may be accepted from time to time in accordance with procedures established by the Association. Current ownership of single-family home within the Center Street Historic District as defined by the Ohio Historic Preservation Office is a pre-requisite to membership in the Association.

b. Associate Membership. Open to those interested parties who support the programs and objectives of the Center Street Historic District Association, INC.

c. Voting. Each Member, as defined under Article IIIa, shall be entitled to one vote on each matter submitted to a vote of the membership.

d. Transfer of Membership. Membership in this Association is not transferable or assignable without the written consent of the Executive Committee of the Association.

e. Dues. Each Member and Associate Member shall pay such dues as may be fixed by the membership of the Association.

f. Honorary Membership. Honorary membership shall be bestowed on worthy individuals upon recommendation of the Executive Committee and approval of the membership.

ARTICLE IV: MEMBERSHIP MEETINGS

a. The members of the Association shall meet at least quarterly (January, April, July, and October) at a time and place to be determined by the Executive Committee (consisting of the elected officers: President, Vice President, Recording Secretary, Corresponding Secretary and Treasurer). Other regular or special meetings shall be held at the direction of the Executive Committee.

b. Members of the Association by majority vote may establish standing committees as deemed necessary. Members may volunteer on such committees or be asked by the president to serve on the committees.

c. Quorum. At any regular or special meetings of the membership, seven members present shall constitute a quorum for the transaction of business.

d. Notices. Notice of the time and place of regular and special meetings, as determined by the Executive Committee, shall be given to the Association members.

e. Executive Committee shall communicate prior to regularly scheduled meetings to prepare the agenda.

ARTICLE V: NOMINATION AND ELECTION OF OFFICERS

a. The officers of the Association shall be the President, Vice President, Recording Secretary, Corresponding Secretary and Treasurer.

b. The terms of office shall be for two years.

c. The officers shall be Members of the Association defined in Article IIIa.

d. Nomination and election of officers will take place every two years at the October meeting in odd numbered years.

e. Any vacancy in the offices of President, Vice President, Recording Secretary, Corresponding Secretary or Treasurer shall be filled at the next regularly scheduled meeting of the Association.

ARTICLE VI: AMENDING OF BY-LAWS

The by-laws of the Association may be amended by a two-thirds vote of the membership.

ARTICLE VII: TERMINATION OF THE ORGANIZATION

In the event that the Center Street Historic District Association, INC. ceases to exist, any monies and/or property will be given to another charitable organization determined by the Executive Committee at the time of termination.
